ALC BUSINESS Industries Pvt. Ltd.
(hereinafter referred to as “the Company”, “ALC BUSINESS”, “We” or “Us”)

These Terms and Conditions (“Terms”) govern the relationship between ALC BUSINESS Industries Pvt. Ltd. and any individual or entity who joins as a Member (“Member”, “You” or “Your”) in the Company’s Network Marketing / Direct Selling program for its Ayurvedic healthcare supplement products.

By submitting the Membership Application Form, paying any joining fee or purchasing the Starter Kit / Products, and/or participating in the compensation plan, You expressly agree to be bound by these Terms in their entirety. If You do not agree, You must not join the Company.

1. Definitions

• Member – An independent direct seller / distributor registered with the Company.
• Starter Kit / Joining Pack – The initial product kit / business kit purchased at the time of joining.
• Compensation Plan – The official income plan published by the Company (as may be amended from time to time).
• Downline / Upline – The network structure created under the Company’s binary / generational / any other structure.
• Products – All Ayurvedic healthcare supplements and related items manufactured / marketed by the Company.

2. Eligibility and Joining

2.1 You must be at least 18 years of age and a citizen or legal resident of India.

2.2 You must have full legal capacity to enter into this contract.

2.3 You must provide accurate, complete and truthful information in the Membership Application Form, PAN card, Aadhaar card, Bank details and any other KYC documents required by the Company.

2.4 Membership is granted solely at the Company’s discretion. The Company reserves the absolute right to reject any application without assigning any reason.

2.5 Membership is non-transferable and non-assignable except with the prior written consent of the Company.

3. Joining Fees, Payments and Purchases

3.1 You are required to purchase the Starter Kit / Joining Pack at the price prevailing on the date of joining.

3.2 All subsequent purchases of Products shall be made at the Company’s prevailing Distributor Price List.

3.3 All payments (joining fee, product purchases, renewal fees, if any) must be made through the Company’s official payment gateway / bank account only. Cash payments are strictly prohibited.

3.4 The Company shall issue a valid GST-compliant invoice for every transaction.

5. Compensation Plan and Income

5.1 You shall be entitled to earn commissions, bonuses, incentives and other income only as per the Compensation Plan in force on the date the income is earned.

5.2 The Company has the sole, absolute and unilateral authority to decide, modify, revise, increase, decrease, suspend, withdraw or completely change the values, rates, percentages, slabs, bonuses, incentives, qualification criteria and any other component of the Compensation Plan at any time without prior notice.

5.3 The Company’s decision in this regard shall be final and binding on all Members.

6. Member Responsibilities and Code of Conduct

6.1 You shall sell only genuine Company Products at the Maximum Retail Price (MRP) fixed by the Company.

6.2 You shall not make any false or exaggerated health claims about the Ayurvedic products.

6.3 You shall not engage in any form of misleading, deceptive or high-pressure selling.

6.4 You shall comply with all applicable Indian laws including the Consumer Protection Act, 2019, Direct Selling Guidelines, GST laws, Income Tax laws and any other statutory requirements.

6.5 You shall maintain proper records of all sales and provide invoices to customers.

6.6 You shall not use the Company’s name, logo, trademarks, trade names, brochures, videos or any marketing material without prior written approval.

7. Prohibited Activities

7.1 Cross-recruiting, poaching of Members from other companies or from within the Company is strictly prohibited.

7.2 Spamming, unsolicited messaging, false advertising on social media, or any form of online / offline misrepresentation is prohibited.

7.3 If any Upline engages in any fraud, misrepresentation or illegal activity, the Company shall not be responsible or liable for any products, payments, commissions, losses or any other consequences arising therefrom.

7.4 Any act that brings disrepute to the Company or its Products shall result in immediate termination.

8. Intellectual Property

All trademarks, copyrights, designs, product formulations, marketing materials and business systems are the exclusive property of the Company. You are granted a limited, non-exclusive, revocable license to use the same strictly for promoting Company Products during the subsistence of your active membership.

9. Termination and Suspension

9.1 The Company may terminate or suspend your membership at any time, with or without notice, for any reason including breach of these Terms, non-compliance with law, or any act detrimental to the Company’s interest.

9.2 Upon termination, You shall immediately cease using the Company name, logo and Products for business purposes. All commissions due (if any) shall be settled as per the prevailing rules.

9.3 You may resign by giving 30 days’ written notice, but no refund of any amount shall be made.

10. Amendments

The Company reserves the right to amend, modify or replace these Terms at any time. The revised Terms shall be posted on the Company’s official website / app and shall become effective immediately or on the date specified. Your continued participation after such amendment constitutes acceptance of the revised Terms.

11. Limitation of Liability

The Company shall not be liable for any indirect, consequential, incidental, special or punitive damages arising out of or in connection with your membership. The Company’s total liability shall not exceed the amount paid by You to the Company in the preceding 12 months.

12. Governing Law and Dispute Resolution

12.1 These Terms shall be governed by and construed in accordance with the laws of India.

12.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Nanded, Maharashtra.

12.3 The Company may, at its sole discretion, refer any dispute to arbitration under the Arbitration and Conciliation Act, 1996.

13. Miscellaneous

13.1 These Terms constitute the entire agreement between You and the Company regarding membership.

13.2 If any provision is held invalid, the remainder shall continue in full force.

13.3 No waiver of any breach shall constitute a waiver of any other breach.

13.4 You acknowledge that You have read and understood these Terms, particularly the non-refundable payment policy and the Company’s absolute authority over the Compensation Plan and income values.
